UPDATE: 18TH JANUARY 2023

The resolution to adopt a complete amendment of the rules passed unanimously at the Special General Meeting on Monday 16th January.

The Society would like to thank all the members who attended the meeting, and all those who asked questions and gave feedback about the new rules.

The next stage in the process is to present the proposed new rules to the Financial Conduct Authority.

Changes to the Rules: Frequently Asked Questions

When were the rules last changed?

The last complete revision of the rules was made in February 1990. We adopted a model set of rules written by Co-operatives UK.

Some other changes were made in February 1992, April 1994, March 2004, and March 2007.

Why are the rules changing?

Our rules are no longer up to date. Co-operatives UK have updated the model rules to take into account changes to the legislation which govern Co-operative and Community Benefit Societies.

We are proposing to adopt those rules with some minor alterations.

What sort of alterations?

We have changed some rules to make them more specific to Allendale Co-operative.

E.g. In March 2004, the present rules were updated to give a place on the Board to an employee of the society. We have amended the new rules to include that clause.

Is there a set period of time when members are given the opportunity to read the rules before they are implemented?

Under our present rules – any rule may be rescinded or altered, or any new rule may be made, by a resolution passed at a special meeting of the society, by two thirds of the votes cast.

Special meetings are convened as soon as reasonable after they have been requested.

In this instance to allow plenty of time for members to look at the proposed rules the special meeting is being held on Monday 16th January 2023, immediately after the Annual General Meeting.

Are there any significant changes to the rules, how do these affect me as a member of the society?

None of the changes affect you as a member unless you move away without updating your details or closing your share account. The most notable change to the rules is the addition of provisions for “lost members.”

At present if a member moves away and does not let us know, their account stays open on our share ledger. When the new rules are approved, we will be able to close the account. This keeps our share ledger up to date as is required under the data protection rules.

If the share member returns to the area, we will open a new account for them.

Can I attend the special meeting?

Yes, all members can attend special meetings. Members can also attend the Annual General Meeting.

The Special Meeting is being held on at 7.30pm on Monday 16th January 2023 at The Fire Station, immediately after the Annual General Meeting.
